Rejection of Carillion’s Proposal

The Board of Balfour Beatty has considered the terms of the revised merger proposal from Carillion plc (“Carillion”) dated 19 August 2014 and consulted with its major shareholders.

Company Overview

Balfour Beatty serves the international markets for rail, road, utility systems, buildings and complex structures. The company has annual sales of £4.2 billion and an order book over £6.8 billion as the fifteenth largest construction company in the world, and second largest construction company in the UK. It has 27,000 employees in over 20 principal countries, and can report on seven consecutive years of significant profits and earnings growth.

The Board of Balfour Beatty has further considered the announcement from Carillion plc (‘Carillion’) dated 14 August 2014. The proposal remains unchanged to that rejected on 11 August 2014. The Board reaffirms its rejection of the proposal. A more detailed analysis is set out below.
